Practice Description

SKJ provides legal counseling on corporate, limited liability company, limited partnership, partnership and statutory trust matters. Our corporate and alternative entity counseling practice encompasses a wide variety of complex transactions, including formation and operation of private equity and hedge funds, credit financing, asset securitizations, mergers and acquisitions, joint ventures, mutual funds, asset and stock purchases and the dissolution and liquidation of such entities. SKJ regularly advises in-house and outside counsel in connection with the fiduciary obligations of directors, general partners, managers and trustees of corporate and alternative entities, represents and advises special committees, assists with the structuring and documentation of transactions, and provides third-party legal opinions on corporate, alternative entity and contractual matters.

SKJ continues to be integrally involved the development of Delaware’s corporate and alternative entity law. One of our founders was one of the principal drafters of Delaware’s alternative entity statutes, including Delaware’s limited partnership and limited liability company acts and Delaware’s version of the Revised Uniform Partnership Act. Two of our partners are members of the Alternative Entity Section and Council of the Corporate Law Section of the Delaware State Bar Association, which are responsible for monitoring and updating the Delaware alternative entity and corporate statutes.
