Elizabeth represents both plaintiffs and defendants, and her practice encompasses corporate governance and commercial disputes involving breach of fiduciary duty and comparable breach of contract matters pursuant to alternative entity agreements, and related post-closing or restrictive covenant disputes.  Elizabeth frequently represents founders, directors & officers and other constituents in the context of class and derivative actions, control disputes, or other claims for expedited injunctive relief or status quo orders, including books and records demands, stockholder meetings, and other statutory claims such as appraisal and dissolution, including nominal defendant representation.  Elizabeth’s fiduciary duty practice also includes the representation of constituents in the trust context, and Elizabeth has represented individual and corporate trustees, and beneficiaries in trust litigation, as well as in transactional matters.

Over the course of her career, Elizabeth has also served as Delaware counsel in arbitrations before the AAA and FINRA, and was certified as a mediator by the Delaware Superior Court in 2025.  Elizabeth’s practice includes serving as lead counsel, as well as Delaware counsel to firms across the country, and internationally.

Elizabeth joins SKJ after 16 years with the majority women-owned corporate and commercial boutique firm of Pinckney, Weidinger, Urban & Joyce LLC, which is winding up its practice.  Prior to joining PWUJ in 2009, Elizabeth was a corporate litigation partner in Blank Rome LLP’s Delaware office, where she practiced for 9 years. She began her legal career as law clerk to Judge William C. Carpenter, Jr. in the Delaware Superior Court, before starting her career in corporate litigation at Prickett Jones & Elliott, P.A. Elizabeth served as Co-Chair of the Delaware State Bar Association’s Women & the Law Section for the 2013-2015 term, and has also served as a Co-Chair of the Diversity Committee of the Delaware State Bar Association.

Representative Matters:

• Linehan v. Mills, et al (2026); Elizabeth successfully secured a protective order on behalf of two non-party witnesses against discovery found by the court to be irrelevant and baseless.
• Edmondson v. Oakes, et al (2026); lead counsel, successfully securing control for her clients of a Delaware entity under 8 Del. C. §225 after expedited trial on the merits.
• In re NTBS Holdings, L.P. (2025);  Delaware counsel in the Delaware offshoot of a Michigan cannabis business control contest, ultimately securing approval of a global settlement and dismissal of derivative claims.
• Julian’s Foods, LLC v. Julian Bakery, Inc., et al (2025); Delaware counsel in a post-closing indemnification dispute under an asset purchase agreement.
• Paul Elton, LLC v. Rommel Delaware, LLC, et al (2020-2025); lead counsel on a hotly contested multi-million-dollar breach of contract action, securing a judgment for her client, affirmed on appeal.
• In re Shorenstein Hays-Nederlander Theater LLC (2014-2019); lead counsel for the nominal defendant in this 50/50 contest for control of the entity and its assets.
• Washington House Condo. Assn. v. Daystar Sills, et al (2015-2022); After starting off as Delaware counsel, Elizabeth served as lead counsel in this complex construction defect action against numerous defendants and involving a companion insurance coverage action.
• Unison Site Management Corp. v. Farrell, et al (2011-2012); Delaware counsel in an expedited case asserting breaches of restrictive covenants which resulted in the Court entering a temporary restraining order, preliminary injunction and permanent injunction for the benefit of Elizabeth’s client.
• Harry Ng v. Heng Sang Realty Corp. (2004); Elizabeth served as trial counsel on behalf of the Plaintiff in this appraisal action which was affirmed on appeal.
